TERMS OF SERVICE

AMG Online Enterprises LLC
Effective Date: 11/27/251. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase Products or use the Services. By using the Services, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms.​

2. Medical Disclaimer; Pregnancy, Lactation, Allergies, and Medication Use

IMPORTANT: The Services and Products are provided for general informational and wellness purposes only and are not medical advice. AMG Online Enterprises LLC is not a medical provider and does not diagnose, treat, cure, mitigate, or prevent any disease or medical condition.

2.1 No Physician–Patient Relationship

Your use of the Services does not create a physician–patient, counselor–patient, or other healthcare relationship with AMG. Any information provided is not a substitute for professional evaluation, diagnosis, or treatment.

2.2 Pregnancy and Lactation Warning

If you are pregnant, suspect you may be pregnant, planning to become pregnant, or breastfeeding/lactating, you must not use any Product unless you first consult with and receive approval from a licensed physician/OB-GYN or other qualified healthcare professional. Certain ingredients may be contraindicated in pregnancy or lactation and may pose risk to you or a fetus/infant.

2.3 Allergy, Sensitivity, and Contraindication Warning

If you have known or suspected allergies, hypersensitivities, intolerances, or immune-mediated conditions (including but not limited to anaphylaxis history, food allergies, seasonal allergies, dermatologic sensitivities, or autoimmune disorders), you must not use any Product unless you first consult with a qualified healthcare professional.
You are solely responsible for reviewing ingredient lists and determining whether Products are safe for you. AMG does not guarantee products are allergen-free, cross-contamination-free, or suitable for any specific sensitivity.

2.4 Medication Use; Drug–Supplement Interaction Warning

If you are currently using any prescription medications, over-the-counter (OTC) medications, anticoagulants, antihypertensives, antidepressants, antidiabetics, hormone therapies, or any other pharmacologic agents, you must not use any Product unless you first consult with a licensed physician or pharmacist.
Products may interact with medications, alter absorption or metabolism, or be contraindicated for certain clinical conditions.

2.5 Pre-Existing Conditions

If you have any pre-existing medical conditions (including cardiovascular disease, hepatic or renal impairment, endocrine disorders, gastrointestinal disease, psychiatric conditions, seizures, or any chronic illness), you must consult a licensed healthcare professional before using Products.

2.6 FDA and Results Disclaimer

Statements on the Services have not been evaluated by the U.S. Food and Drug Administration (FDA) unless explicitly stated. Individual results vary. AMG makes no guarantees regarding outcomes, benefits, or results from use of the Products.

2.7 Emergency / Adverse Events

Discontinue use immediately and seek emergency medical care if you experience adverse reactions, including but not limited to rash, hives, swelling, dizziness, dyspnea, chest pain, rapid heartbeat, severe gastrointestinal distress, or any symptoms suggestive of an allergic reaction.

3. Account Registration

You may need to create an account to access certain features. You agree to:

  • provide accurate, current, and complete information;

  • maintain the security of your login credentials; and

  • accept responsibility for all activities under your account.

We may suspend, restrict, or terminate accounts at our sole discretion, without notice, for any reason.

4. Orders, Pricing, and Payment

4.1 Order Acceptance

All orders are offers to buy. AMG may accept, reject, cancel, limit, or refuse any order in its sole discretion, including after an order confirmation is sent. Your order is not accepted until we confirm shipment (or provide explicit acceptance).

4.2 Pricing & Errors

Prices may change at any time without notice. We are not responsible for typographical, pricing, product description, or inventory errors. We reserve the right to cancel or refuse any order arising from errors or inaccuracies, even after payment.

4.3 Payment Authorization

You authorize AMG (and our payment processors) to charge your provided payment method for all amounts due, including taxes and shipping. You agree not to dispute valid charges.

5. Shipping and Delivery

Delivery dates are estimates only. AMG is not liable for delays due to carriers, customs, weather, supply issues, incorrect addresses, lost packages, or other causes outside our control. Title and risk of loss pass to you upon transfer to the carrier unless otherwise required by law.

You are solely responsible for ensuring your shipping information is accurate. Orders shipped to an address you provide are considered properly delivered.

6. All Sales Final / No Returns / No Refunds

ALL SALES ARE FINAL.
To the maximum extent permitted by law:

  • No returns.

  • No refunds.

  • No exchanges.

Once an order is placed, it cannot be canceled or modified. You are responsible for confirming your order details before purchase.

If a package is lost, delayed, stolen, or marked delivered by the carrier, you agree that your remedy (if any) is solely with the carrier, not AMG.

Nothing in this section limits any non-waivable rights you may have under applicable law, but AMG expressly disclaims and refuses all voluntary returns and refunds.

7. Promotions and Discount Codes

Promotions may be modified, paused, or ended at any time. Discount codes have no cash value, are non-transferable, and may be voided if used fraudulently or outside stated terms.

8. User Conduct

You agree not to:

  • use the Services for unlawful purposes;

  • interfere with, disrupt, or attempt to gain unauthorized access to the Services;

  • upload malware, spam, or harmful code;

  • harass, defame, stalk, or infringe rights of others;

  • scrape, reverse engineer, exploit, or commercially misuse the Services.

We may investigate, remove content, suspend access, and pursue legal action for violations.

9. Intellectual Property

All content on the Services—including text, images, graphics, trademarks, product names, logos, videos, designs, and software—is owned by or licensed to AMG and protected by intellectual property laws.

You may not use, reproduce, distribute, adapt, display, publish, sell, or create derivative works without AMG’s prior written consent.

10. User Content (Reviews, Comments, Submissions)

If you submit content to AMG (e.g., reviews, testimonials, photos, comments, suggestions):

  • you grant AMG a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute, display, and commercialize that content for any purpose without compensation to you;

  • you represent that you own or have rights to submit it; and

  • AMG may remove or refuse content at any time.

11. Testimonials and Results Disclaimer

Testimonials reflect individual experiences and are not guarantees. Results vary by person due to genetics, diet, lifestyle, adherence, environment, and other factors.

12. Third-Party Links

The Services may contain links to third-party sites. AMG does not control or endorse them and is not responsible for their content, privacy practices, or availability. Your dealings with third parties are solely between you and them.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AMG DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE;

  • PRODUCTS WILL MEET YOUR EXPECTATIONS;

  • ANY RESULTS WILL BE ACHIEVED;

  • DEFECTS WILL BE CORRECTED;

  • PRODUCTS ARE SUITABLE FOR YOUR PARTICULAR NEEDS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMG AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR PERSONAL INJURY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS—even if advised of the possibility.

IN NO EVENT SHALL AMG’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO AMG FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM IN THE 3 MONTHS BEFORE THE CLAIM AROSE, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum extent allowed by law.

14.1 No Liability for Contraindicated Use

To the maximum extent permitted by law, AMG shall have no liability for any harm, injury, adverse event, loss, or damages arising from or related to:

  • use of any Product during pregnancy, breastfeeding/lactation, or while trying to conceive without prior medical approval;

  • use of any Product despite allergies, sensitivities, intolerances, or contraindications;

  • use of any Product while taking medications or with pre-existing conditions without consulting a licensed healthcare professional; or

  • failure to read or follow Product labels, ingredient disclosures, or warnings.

15. Indemnification

You agree to defend, indemnify, and hold harmless AMG from any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of or related to:

  • your use, misuse, or reliance on the Services or Products;

  • your violation of these Terms;

  • your violation of any law or third-party right;

  • any content you submit;

  • any injury, harm, or loss allegedly caused by Products you purchased.

16. Assumption of Risk

You acknowledge and agree that use of health and wellness products involves inherent risks and that you assume full responsibility for determining whether Products are appropriate for your personal health circumstances.

Without limiting the foregoing, you expressly agree that:

  1. you have read and understood all labels, ingredient lists, and warnings;

  2. you will consult a licensed healthcare professional before use if any condition in Section 2 applies to you (including pregnancy, breastfeeding, allergies/sensitivities, medication use, or pre-existing conditions); and

  3. any decision to use Products without medical consultation when such conditions apply is made solely at your own risk.

17. Termination

We may terminate or suspend your access to the Services at any time, for any reason, without notice. Sections that by nature should survive termination (including IP, disclaimers, limitation of liability, indemnity, dispute resolution) will survive.

18. Governing Law (Texas)

These Terms are governed by and construed under the laws of the State of Texas, without regard to conflict-of-law rules.

19. Dispute Resolution & Arbitration; Class Action Waiver

READ CAREFULLY. THIS AFFECTS YOUR RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms, Products, or Services will be resolved exclusively by binding individual arbitration, not in court, except that you may bring a claim in small claims court if eligible.

  • Arbitration will take place in Texas, in English, under the rules of a reputable arbitration provider selected by AMG.

  • NO CLASS ACTIONS. You and AMG agree to bring claims only in your individual capacities and not as a plaintiff or class member in any purported class, collective, private attorney general, or representative proceeding.

  • You waive any right to a jury trial.

If a court finds any part of this section unenforceable, the remainder still applies, and any class or representative claims must be litigated in a Texas court.

20. Changes to Terms

We may update these Terms at any time. Changes are effective upon posting. Your continued use of the Services after changes are posted constitutes acceptance.

21. Entire Agreement

These Terms, plus any policies referenced on the Services, constitute the entire agreement between you and AMG and supersede all prior or contemporaneous agreements.

22. Severability

If any provision is unlawful or unenforceable, the remaining provisions remain in full force and effect.

23. No Waiver

Failure to enforce any right is not a waiver of future enforcement of that or any other right.
